This License applies to the package, program, source code or other work or portion thereof that Simple Logic claims copyright, authorship, or ownership of (henceforth the "Software") that is distributed with or references this License Agreement.

USAGE

Simple Logic grants you a nonexclusive license to use Software subject to the terms and restrictions set forth in this License Agreement.

The Software is licensed to be used for either personal or commercial use on an unlimited number of computers owned by or leased to you. The Software and supporting documentation may be copied an unlimited number of times for backup or archive purposes in support of your use of the Software as permitted hereunder.

You must reproduce and include all copyright notices and any other proprietary rights notices appearing on the Software and the supporting documentation on any copies that you make.

MODIFICATION

You are granted the right to create works based on the Software (henceforth "Derived Works"), including modifying the source code of the Software, and/or incorporating the Software or a modified version of the Software into a larger work. Your usage of the Sofware or a modified version of the Software within any Derived Works shall be governed under the terms of this agreement.

REDISTRIBUTION AND SUBLICENSING

You are not permitted to lease, rent, distribute, redistribute, or sublicense the Software or any work based upon the Software, or to use the Software or any work based upon the Software in a time-sharing arrangement or in any other unauthorized manner

EXPORT RESTRICTIONS

You agree that you will not export or re-export the Software or accompanying documentation (or any copies thereof) or any products utilizing the Software or such documentation in violation of any applicable laws or regulations of the United States or the country in which you obtained them.

TRADE SECRETS AND PATENTS

You are granted license of patents that are now or hereafter acquired, owned by or assigned to Simple Logic and that cover subject matter contained in the Software, but only to the extent necessary for use of the Software as outlined in this License Agreement without infringement.

GOVERNING LAW

This License Agreement shall be governed by the laws of the State of Illinois as such laws are applied to agreements entered into and to be performed entirely within Illinois between Illinois residents and by the laws of the United States. You agree that the United Nations Convention on Contracts for the International Sale of Goods (1980) is hereby excluded.

NO WARRANTY

THE SOFTWARE AND DOCUMENTATION ARE PROVIDED ON AN "AS IS" BASIS AND ALL RISK IS WITH YOU. SIMPLE LOGIC MAKES NO WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, AS TO ANY MATTER WHATSOEVER. IN PARTICULAR, ANY AND ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THIRD PARTIES RIGHTS ARE EXPRESSLY EXCLUDED. FURTHER, SIMPLE LOGIC MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SOFTWARE AND DOCUMENTATION PROVIDED ARE FREE OF ERRORS OR VIRUSES OR THAT THE SOFTWARE AND DOCUMENTATION ARE SUITABLE FOR YOUR INTENDED USE. LIMITATION OF LIABILITY: IN NO EVENT SHALL SIMPLE LOGIC OR ITS SUPPLIERS BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, LOSS OF DATA OR DATA BEING RENDERED INACCURATE, LOSS OF PROFITS OR REVENUE, OR INTERRUPTION OF BUSINESS IN ANY WAY ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE AND/OR DOCUMENTATION, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY OR OTHERWISE, EVEN IF ANY REPRESENTATIVE OF SIMPLE LOGIC OR ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS DISCLAIMER OF LIABILITY FOR DAMAGES WILL NOT BE AFFECTED BY ANY FAILURE OF THE SOLE AND EXCLUSIVE REMEDIES HEREUNDER. Some states do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages for consumer products, so the above limitations and exclusions may not apply to you. This warranty gives you specific legal rights which may vary from state to state.

TERM AND TERMINATION

This license take effect the date that you open or receive the package, or install the Software. You may terminate it at any time by destroying the Software and documentation together with all copies and merged portions in any form. It will also terminate immediately if you fail to comply with any term or condition of this License Agreement. Upon such termination you agree to destroy the Software and documentation, together with all copies and merged portions in any form.

SEVERABILITY

In the event any provision of this License Agreement is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of any of the remaining provisions shall not in any way be affected or impaired. Should this occur, Simple Logic reserves the right to amend the agreement in order to substitue a valid, legal and enforceable provision of similar intent and economic impact. Simple Logic is obligated to post notice of such amendments of this nature on their web site a minimum of fourteen (14) days prior to their taking effect.

ENTIRE AGREEMENT

This License Agreement sets forth the entire understanding and agreement between you and Simple Logic and may be amended only in a writing signed by both parties, except as provided for above.
